Terms of Service
Effective date: August 4, 2026
These Terms of Service (“Terms”) are a binding agreement between you (“Customer,” “you”) and Umayth LLC, a limited liability company organized in the State of Colorado (“Umayth,” “we,” “us”), governing your access to and use of the Umayth AI receptionist services, website, and related software (together, the “Service”).
By creating an account, clicking “I agree,” or using the Service, you accept these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of a company, you represent that you are authorized to bind that company.
1. The Service
Umayth provides an AI-powered virtual receptionist that answers inbound calls and messages, books appointments, captures leads, routes messages, and integrates with third-party calendar and CRM tools. Features may change, improve, or be discontinued over time. We provide the Service on a subscription basis as described on our Pricing page.
2. Accounts
You must provide accurate registration information and keep it current. You are responsible for all activity under your account and for keeping your credentials secure. You must be at least 18 and able to form a binding contract. Notify us immediately at hello@umayth.net of any unauthorized use.
3. Subscriptions, Billing, and Renewal
The Service is billed in advance on a recurring monthly (or otherwise stated) basis through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on each renewal date until you cancel. Fees are stated on our Pricing page and may include usage-based charges (for example, per-minute or per-call overages) disclosed at signup. We may change pricing with at least 30 days’ notice; changes apply at your next renewal. All fees are exclusive of taxes, which you are responsible for.
4. Cancellation and Refunds
You may cancel at any time from your account or by emailing hello@umayth.net. Cancellation stops future renewals; it does not retroactively refund the current term except as stated in our Refund & Cancellation Policy, which is incorporated into these Terms.
5. Customer Responsibilities and Telephone Consent
You are solely responsible for how you configure and use the Service, including the greetings, scripts, and messages it delivers on your behalf. You represent and warrant that you have all necessary consents and legal authority to (a) forward or route your business calls through the Service, (b) record calls where recording occurs, and (c) send any SMS or text-back messages, in compliance with all applicable laws including the Telephone Consumer Protection Act (TCPA), state call-recording and two-party consent laws, and anti-spam laws. You will not use the Service for outbound telemarketing, robocalling, or cold outreach. You will provide any legally required call-recording or messaging disclosures to your callers.
6. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, incorporated by reference. We may suspend or terminate accounts that violate it.
7. Third-Party Services
The Service integrates with third-party providers (for example, telephony carriers, AI model providers, calendar and CRM tools, and Stripe). Your use of those services is governed by their own terms, and we are not responsible for them.
8. Intellectual Property
We and our licensors own all rights in the Service, software, and website. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You own your data and content (“Customer Data”); you grant us a license to process it solely to provide and improve the Service, as described in our Privacy Policy and Data Processing Addendum.
9. Service Availability
We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. We may perform maintenance and may modify or suspend the Service as needed. AI systems can make mistakes; the Service is an assistant and you should not rely on it for emergency, medical, legal, or life-safety communications.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE AI WILL ANSWER EVERY CALL CORRECTLY OR CAPTURE EVERY LEAD.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UMAYTH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOST PROFITS OR LOST BUSINESS, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You will indemnify and hold harmless Umayth from any claims, damages, and costs (including reasonable legal fees) arising from your use of the Service, your Customer Data, your violation of these Terms, or your violation of any law (including TCPA and call-recording laws).
13. Term and Termination
These Terms apply while you use the Service. We may suspend or terminate your access for breach, non-payment, or legal risk. On termination, your right to use the Service ends; you may request export of your Customer Data within 30 days, after which we may delete it.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Colorado for any dispute not subject to arbitration.
15. Changes to These Terms
We may update these Terms. Material changes will be posted here with a new effective date and, where required, notified to you. Continued use after changes means you accept them.
